Tax Compliance

Car and Motorcycle Hire-Purchase as a Contract-Controlled Business: What Operators and Hirers Need to Know ?
Notification of the Contract Committee Designating the Hire-Purchase Business for Cars and Motorcycles as a Contract-Controlled Business
Hire-purchase agreements for cars and motorcycles are among the most commonly signed contracts in Thailand, and they are closely regulated through the “contract-controlled business” mechanism under consumer protection law. Whether you are a finance or leasing operator, a dealer, or an individual about to finance a vehicle, understanding this framework significantly reduces risk and disputes. Prom Legal Solution sets out the key points below.
1. Key Points of the Regulation
The current notification caps the effective annual interest rate in car and motorcycle hire-purchase contracts at 10 percent for new cars, 15 percent for used cars, and 23 percent for motorcycles. The contract must state both the flat annual rate and the effective annual rate, together with a schedule of the debt burden. Late-payment penalties must not exceed 5 percent per year on the overdue amount, hirers who settle early must receive an interest discount, and prescribed written notice steps apply before a vehicle is recovered and sold at auction.
2. Background and Structure
The parent legislation is the Consumer Protection Act B.E. 2522 (1979), under which the Contract Committee may designate a business as contract-controlled and prescribe terms that a contract must contain or must not contain. The car and motorcycle hire-purchase business first became contract-controlled in 2561 (2018). That notification was later repealed and replaced by a new notification published in the Royal Gazette on 12 October 2565 (2022), taking effect after a 90-day period, namely on 10 January 2566 (2023). A further notification (No. 2) B.E. 2566 (2023) was published on 21 March 2566 (2023). The Office of the Consumer Protection Board has indicated that the committee may review the interest rate ceilings every three years to keep pace with economic conditions, so operators should monitor developments.
3. Scope of Affected Transactions
The notification applies to the hire-purchase business for cars and motorcycles, new and used, and every operator carrying on this business is within scope, whether a leasing company, a finance company, or a smaller operator. Under the transitional provision, hire-purchase contracts made before the notification took effect remain enforceable on their existing terms, so the new rules apply clearly to contracts made on or after 10 January 2566 (2023).
4. Impact and Benefits for the Public
Hirers receive tangible additional protection. First, the effective-rate approach means interest is calculated on the outstanding principal, which reflects the real burden better than a flat charge over the whole term. Second, on early settlement the hirer receives an interest discount scaled to the amount already paid: at least 60 percent where no more than one-third of installments have been paid, at least 70 percent where more than one-third but not more than two-thirds have been paid, and a full waiver of remaining interest where more than two-thirds have been paid. Third, the late-payment penalty is limited to 5 percent per year, and where the contract is terminated and the vehicle returned, the hirer is liable for the outstanding principal, overdue installments, and debt-collection costs as permitted by law, without being charged interest not yet accrued.
5. Impact and Benefits for Business Operators
The impact on operators varies by segment. Motorcycle hire-purchase businesses and smaller lenders that previously charged above the new ceilings are affected most, since interest income falls and credit assessment may tighten, for example through higher down payments or stricter borrower screening. Larger providers whose pricing was already near the ceilings are affected less. On the other hand, the Office of the Consumer Protection Board points out that the notification also benefits operators, by setting clear contracting standards, reducing disputes, and over time supporting a higher-quality customer base.
6. Contractual Considerations for Operators
Operators should review their standard-form agreements in full against the notification, in particular:
(1) stating both the flat and effective annual interest rates together with the debt schedule;
(2) capping late-payment penalties at 5 percent per year;
(3) setting out the items and calculation method for debt-collection costs in the contract annex, consistently with the law on debt collection;
(4) the termination and recovery process, which requires advance written notice, an opportunity for the hirer to exercise a right to buy back, and notice of auction details and results within the prescribed periods; and
(5) prohibited terms, such as passing pre-contract expenses to the hirer, compelling a change of guarantor without a legally recognised reason, and charging installments or fees beyond those the notification permits. Non-compliant terms may expose an operator to enforcement action and penalties under consumer protection law.
7. Tax Compliance Considerations
Under Section 77/1(8) of the Revenue Code, a hire-purchase of goods is treated as a “sale” for VAT purposes, and under Section 78(2) the VAT liability arises on the due date of each installment, unless payment is received or a tax invoice is issued earlier, in which case liability arises to that extent. A VAT-registered operator must issue a tax invoice immediately when liability arises under Section 86. With the notification changing how interest and early-settlement discounts are calculated, operators should ensure that invoicing, revenue recognition, and installment calculation systems reflect the correct figures, including documentation for early settlements, recoveries, and auction sales, which may carry different tax consequences. Operators should confirm their specific treatment with a tax adviser.
8. Preparing for What Comes Next
Operators should prepare on three fronts. First, a contract health check: review standard agreements, annexes, and the collection and recovery process against the notification. Second, systems and data: update interest calculation, installment schedules, early-settlement discounts, and document generation, and keep records of every notice given to hirers. Third, monitoring: the interest ceilings may be reviewed every three years, and related regimes such as debt-collection rules and personal data protection also bear on this business. Putting internal processes in place early allows the business to adapt promptly when the rules change.
