ทำไมต้องจองชื่อก่อนจดทะเบียน
การจองชื่อก่อนจดทะเบียนถือเป็นขั้นตอนสำคัญที่กฎหมายกำหนดไว้ เพื่อป้องกันมิให้ชื่อนิติบุคคลซ้ำซ้อนหรือคล้ายคลึงกับผู้อื่นจนสร้างความสับสนในตลาด โดยระเบียบสำนักงานทะเบียนหุ้นส่วนบริษัทกลางว่าด้วยการจดทะเบียนห้างหุ้นส่วนและบริษัท พ.ศ. 2561 ข้อ 38 กำหนดชัดเจนว่า ชื่อนิติบุคคลต้องไม่พ้อง ออกเสียง หรือคล้ายคลึงกับชื่อที่มีผู้อื่นจดทะเบียนหรือจองไว้ก่อนแล้ว ดังนั้น การยื่นจองชื่อต่อนายทะเบียนจึงเป็นกระบวนการตรวจสอบและยืนยันสิทธิ์ในการใช้ชื่อนั้น ช่วยป้องกันปัญหาทางกฎหมายตั้งแต่ต้น
สามารถจองชื่อบริษัทได้ 2 วิธี ดังนี้
- การจองชื่อผ่านระบบออนไลน์ (reserve.dbd.go.th) เป็นวิธีที่นิยมมากที่สุดในปัจจุบัน เพราะสามารถจองได้ง่ายและทำได้เพียงลำพังผ่านเว็บไซต์
- ยื่นเอกสารที่กรมพัฒนาธุรกิจการค้า (Walk-in)
เมื่อนายทะเบียนอนุมัติชื่อแล้ว ผู้ขอจองชื่อต้องยื่นจดทะเบียนบริษัทให้แล้วเสร็จภายใน 30 วัน นับแต่วันที่ได้รับอนุญาต ตามที่กำหนดไว้ในระเบียบของสำนักงานทะเบียนหุ้นส่วนบริษัทกลาง
หากยังไม่พร้อมดำเนินการจดทะเบียนภายในกำหนด สามารถขอขยายระยะเวลาการจองชื่อ ได้อีก 30 วัน โดยต้องยื่นผ่านระบบ e-Registration ของ DBD ก่อนที่ระยะเวลาจองเดิมจะหมดอายุลง เพราะหากปล่อยให้หมดอายุไปก่อน จะต้องเริ่มกระบวนการจองชื่อใหม่ทั้งหมด รวมถึงมีความเสี่ยงที่ชื่อที่ต้องการอาจถูกคนอื่นจองไปในระหว่างนั้น
ชื่อต้องห้าม ตามประกาศระเบียบของกรมพัฒนาธุรกิจ
กรมพัฒนาธุรกิจการค้าได้กำหนดชื่อต้องห้ามตามระเบียบสำนักงานทะเบียนหุ้นส่วนบริษัทกลาง พ.ศ. 2561 ข้อ 38 ไว้ทั้งหมด 15 ข้อ ดังต่อไปนี้
- พระนามกษัตริย์และราชวงศ์: ห้ามใช้พระนามของพระมหากษัตริย์ พระมเหสี รัชทายาท และพระบรมวงศานุวงศ์ เว้นแต่ได้รับพระบรมราชานุญาต
- ชื่อหน่วยงานราชการ: ห้ามใช้ชื่อกระทรวง ทบวง กรม ส่วนราชการ หรือองค์การรัฐ เว้นแต่ได้รับอนุญาตจากรัฐมนตรีที่เกี่ยวข้อง
- ชื่อประเทศ: ห้ามใช้ชื่อประเทศ หากจำเป็นต้องใช้ ให้ระบุไว้ในวงเล็บท้ายชื่อเท่านั้น
- ทำให้เข้าใจผิดว่าเป็นภาครัฐ: ห้ามใช้ชื่อที่อาจทำให้สำคัญผิดว่ารัฐบาล กระทรวง หรือองค์การระหว่างประเทศเป็นเจ้าของหรือผู้ดำเนินการ
- คำบ่งบอกรูปแบบนิติบุคคลอื่น: ห้ามใช้คำว่า “บริษัทมหาชนจำกัด” “บมจ.” “สมาคมการค้า” “หอการค้า” หรือคำที่คล้ายกัน
- ธุรกิจที่ต้องขออนุญาตพิเศษ: ห้ามใช้คำที่สื่อถึงธุรกิจธนาคาร หลักทรัพย์ ขายตรง โรงเรียน วิทยาลัย มหาวิทยาลัย เว้นแต่แสดงหลักฐานความเห็นชอบจากหน่วยงานที่เกี่ยวข้อง
- ซ้ำกับบริษัทที่จดทะเบียนแล้ว: ห้ามใช้ชื่อที่เหมือนหรือออกเสียงตรงกับห้างหุ้นส่วนหรือบริษัทที่จดทะเบียนไว้แล้วจนอาจทำให้หลงผิด
- ซ้ำกับหนังสือบริคณห์สนธิ: ห้ามใช้ชื่อที่เหมือนหรือออกเสียงตรงกับชื่อในหนังสือบริคณห์สนธิที่จดทะเบียนไว้ก่อนแล้ว เว้นแต่หนังสือนั้นสิ้นผลแล้ว
- ชื่อที่ถูกขีดออกจากทะเบียน: ห้ามใช้ชื่อบริษัทที่นายทะเบียนขีดชื่อออกแล้ว ต้องรอให้ครบ 10 ปี นับแต่วันที่ขีดชื่อ
- เครื่องหมายและเลขโรมัน: ห้ามใช้เครื่องหมาย สัญลักษณ์ (@!#*?[ ]””/=) หรือตัวเลขโรมัน (I, II, III, IV) ในชื่อ
- คำต้องห้ามในบัญชีแนบท้าย: ห้ามใช้ชื่อ คำ หรือข้อความที่ DBD ระบุไว้ในบัญชีแนบท้ายระเบียบ เช่น ตำรวจ ทหาร มาเฟีย รัฐบาล ฯลฯ
- “คอร์ป” / “คอร์ปอเรชั่น”: ห้ามใช้คำว่า “คอร์ป” (Corp) หรือ “คอร์ปอเรชั่น” (Corporation) เว้นแต่จดทะเบียนเป็นประเภทบริษัท
- ขัดนโยบายรัฐหรือศีลธรรม: ห้ามใช้ชื่อที่ขัดต่อแนวนโยบายแห่งรัฐ ขัดต่อความสงบเรียบร้อย หรือศีลธรรมอันดีของประชาชน
- ชื่อต่างประเทศไม่ตรงกับชื่อไทย: ชื่อภาษาต่างประเทศต้องมีความหมายหรือออกเสียงตรงกับชื่อภาษาไทย หากไม่ตรงกันจะถูกปฏิเสธ
- “วิสาหกิจเพื่อสังคม”: ห้ามใช้คำว่า “วิสาหกิจเพื่อสังคม” เว้นแต่ได้รับการจดทะเบียนตาม พ.ร.บ. ส่งเสริมวิสาหกิจเพื่อสังคมแล้ว

Reserving a Company Name with the DBD: Everything You Need to Know Before Starting a Business
Every business begins with a name. A good company name is the very first asset you build during company registration, even before you have products or employees. However, before legally using a name in Thailand, it must pass the corporate name reservation process with the Department of Business Development (DBD) under the Ministry of Commerce. While this process may not seem complicated, there are strict rules and prohibitions that many people are unaware of, leading to repeated rejections.

Why Reserve a Name Before Registration? Reserving a name prior to registration is a crucial legal requirement designed to prevent corporate names from being duplicated or confusingly similar to others, which could cause market confusion. Clause 38 of the Regulations of the Central Partnership and Company Registration Office on Partnership and Company Registration B.E. 2561 (2018) clearly states that a corporate name must not be identical, sound similar, or closely resemble a name already registered or reserved by someone else. Therefore, submitting a name reservation to the Registrar acts as a verification process to confirm your right to use that name, preventing legal disputes right from the start.
Two Methods to Reserve a Company Name:
- Online Reservation (reserve.dbd.go.th): This is the most popular method today because it is highly convenient and can be done independently via the DBD website.
- Walk-in Submission at the DBD
Once the Registrar approves the name, the applicant must complete the company registration within 30 days from the approval date, as stipulated by the Central Registration Office’s regulations.
If you are not ready to proceed with the registration within this timeframe, you can request a 30-day extension via the DBD’s e-Registration system. This extension must be requested before the original reservation expires. If you let the reservation expire, you must restart the entire process from scratch, running the risk that someone else might reserve your desired name in the meantime.
15 Prohibited Names According to DBD Regulations The DBD has outlined 15 prohibited naming conditions under Clause 38 of the Regulations of the Central Partnership and Company Registration Office B.E. 2561 (2018), as follows:
- Royal Names and the Royal Family: Prohibits the use of the names of the King, the Queen, the Heir Apparent, and Royal Family members unless Royal permission is granted.
- Government Agencies: Prohibits the names of ministries, bureaus, departments, government sectors, or state organizations unless permitted by the relevant Minister.
- Country Names: Prohibits the use of country names. If necessary, the country name must be placed in parentheses at the end of the company name.
- Misleading as a State or International Entity: Prohibits names that might cause the public to mistakenly believe the business is owned or operated by the government, a ministry, or an international organization.
- Indicators of Other Corporate Forms: Prohibits the use of terms like “Public Company Limited,” “Plc.,” “Trade Association,” “Chamber of Commerce,” or similar confusing words.
- Specially Regulated Businesses: Prohibits terms implying businesses such as banking, securities, direct sales, schools, colleges, or universities, unless documentary evidence of approval from the relevant regulatory agency is provided.
- Duplicating Registered Companies: Prohibits names that are identical to or sound exactly like partnerships or companies already registered, to prevent public confusion.
- Duplicating Registered Memorandums of Association: Prohibits names that are identical to or sound exactly like names in a previously registered Memorandum of Association, unless that document is no longer valid.
- Struck-off Names: Prohibits the use of company names that the Registrar has already struck off the register. A 10-year waiting period from the date of the strike-off is required.
- Symbols and Roman Numerals: Prohibits the use of special characters or symbols (e.g., @!#*?[ ]””/=) or Roman numerals (e.g., I, II, III, IV) in the name.
- Prohibited Words in the Annex: Prohibits names, words, or phrases specified in the regulation’s annex (e.g., Police, Military, Mafia, Government, etc.).
- “Corp” or “Corporation”: Prohibits the use of the words “Corp” or “Corporation” unless the entity is legally registering as a Company.
- Contrary to State Policy or Morals: Prohibits names that contradict state policies or are contrary to public order or good morals.
- Foreign Names Not Matching the Thai Name: The foreign language name must have a direct translation or sound identical to the Thai name. If they do not match, the name will be rejected.
- “Social Enterprise”: Prohibits the use of the term “Social Enterprise” unless the business is legally registered under the Social Enterprise Promotion Act.
