ลองนึกภาพบ้านที่ “หน้าฉาก” เขียนชื่อคนไทยเป็นเจ้าของ แต่ “หลังฉาก” คนต่างชาติเป็นคนคุมและได้ประโยชน์จริง โครงสร้างแบบนี้แหละที่รัฐกำลังไล่ปิดช่องอย่างจริงจัง
ตั้งแต่วันที่ 1 สิงหาคม 2569 เป็นต้นมา การจดทะเบียนห้างหุ้นส่วนและบริษัทที่มีคนต่างชาติเข้ามาเกี่ยวข้องเข้มขึ้นกว่าเดิมพอสมควร เนื่องจากกรมพัฒนาธุรกิจการค้า (DBD) ออกคำสั่งสำนักงานทะเบียนหุ้นส่วนบริษัทกลางที่ 2/2569 เพื่อยกระดับการตรวจสอบและปิดช่องโหว่ที่คนต่างด้าวใช้คนไทยเป็นตัวแทนอำพราง หรือที่เรียกกันติดปากว่านอมินี ใครที่กำลังจะตั้งบริษัทร่วมกับต่างชาติ หรือมีบริษัทอยู่แล้วและคิดจะปรับผู้ถือหุ้นหรือกรรมการ เรื่องนี้เกี่ยวกับคุณโดยตรงค่ะ วันนี้ Prom Legal Solution ขอพาไปทำความเข้าใจให้ครบ
นอมินีคืออะไร และทำไมรัฐถึงเอาจริง
พูดง่าย ๆ นอมินีคือการที่คนไทยยืนชื่อถือหุ้นหรือเป็นเจ้าของแทน เพื่อให้บริษัทดูเหมือนเป็นของคนไทย ทั้งที่จริงคนต่างชาติเป็นคนคุมและได้ประโยชน์ตัวจริง จุดที่ผิดกฎหมายคือการทำแบบนี้เพื่อเลี่ยง พระราชบัญญัติการประกอบธุรกิจของคนต่างด้าว พ.ศ. 2542 ที่กำหนดเพดานให้ต่างชาติถือหุ้นในบางธุรกิจได้ไม่เกินร้อยละ 49 และสงวนบางกิจการไว้ให้คนไทยเท่านั้น
โทษของเรื่องนี้ไม่เบา ตาม มาตรา 36 ทั้งคนไทยที่ยอมเป็นนอมินีและคนต่างด้าวที่อยู่เบื้องหลัง มีโทษจำคุกไม่เกิน 3 ปี หรือปรับตั้งแต่หนึ่งแสนถึงหนึ่งล้านบาท หรือทั้งจำทั้งปรับ และยังมีโทษปรับรายวันตลอดช่วงที่ยังฝ่าฝืนอยู่ด้วย นี่คือเหตุผลที่รัฐพยายามปิดช่องโหว่ให้แน่นขึ้นเรื่อย ๆ
สิ่งที่เปลี่ยนไปในคำสั่ง 2/2569
จุดเปลี่ยนสำคัญคือ เดิมทีการตรวจเข้มจะโฟกัสที่ตอนจดตั้งบริษัทเป็นหลัก ทำให้บางรายเลือกจดตั้งให้ผ่านการคัดกรองไปก่อน แล้วค่อยไปเปลี่ยนผู้ถือหุ้นหรือผู้มีอำนาจลงนามทีหลัง คำสั่งใหม่เลยขยายการตรวจสอบให้ครอบคลุมตลอดวงจร คือดูตั้งแต่ตอนจดตั้งไปจนถึงตอนจดทะเบียนแก้ไขเพิ่มเติมด้วย ช่องที่เคยใช้เลี่ยงจึงแคบลงมาก
อีกเรื่องที่เพิ่มเข้ามาคือเอกสารประกอบคำขอ ในกรณีที่มีคนต่างชาติร่วมลงทุนหรือมีอำนาจลงนาม บริษัทต้องยื่นหนังสือชี้แจงการลงทุน พร้อมแนบรายการเดินบัญชีธนาคาร (Bank Statement) ย้อนหลัง 3 เดือน ทั้งของผู้ลงทุนชาวไทยที่เป็นคนจ่ายเงินลงทุนจริง และของฝ่ายที่รับเงินลงทุนนั้น เป้าหมายคือให้เห็นเส้นทางเงินชัด ๆ ว่าคนไทยที่ลงชื่อเป็นผู้ลงทุนมีเงินลงทุนของตัวเองจริงหรือเปล่า
ใครกระทบบ้าง และควรเตรียมตัวอย่างไร
คนที่ได้รับผลโดยตรงคือบริษัทที่กำลังจะจดตั้งใหม่โดยมีต่างชาติร่วมทุน และบริษัทเดิมที่มีต่างชาติเกี่ยวข้องแล้ววางแผนจะแก้ไขผู้ถือหุ้นหรือกรรมการหลังวันที่ 1 สิงหาคม 2569 สิ่งที่ควรทำตั้งแต่ตอนนี้คือ ตรวจดูว่าเงินลงทุนของผู้ถือหุ้นไทยมีที่มาที่ไปชัดเจนและตรงกับเอกสาร เตรียม Bank Statement ให้พร้อม และทบทวนว่าโครงสร้างการถือหุ้นสะท้อนความเป็นจริงของการลงทุน ไม่ใช่แค่ตัวเลขบนกระดาษ
ถ้าโครงสร้างเดิมเคยจัดไว้แบบหลวม ๆ ช่วงนี้คือจังหวะที่ควรกลับมาทบทวนก่อนที่จะต้องไปยื่นเอกสารต่อหน่วยงาน เพราะการแก้ให้ถูกตั้งแต่ต้นย่อมดีกว่าไปเจอปัญหาตอนที่เจ้าหน้าที่ขอเอกสารเพิ่ม

The New 2026 Nominee Measures That Foreign Joint-Venture Businesses Must Know
Picture a house whose “front” bears a Thai name as the owner, but “behind the scenes” a foreigner actually controls it and reaps the real benefits. This is precisely the structure the state is now seriously moving to shut down.
Since 1 August 2569 (2026), registering partnerships and companies involving foreigners has become considerably stricter, because the Department of Business Development (DBD) issued Central Partnership and Company Registration Office Order No. 2/2569 to raise the level of scrutiny and close the loophole where foreigners use Thais as concealing proxies, commonly called nominees. If you are about to set up a company with a foreigner, or already have one and are thinking of adjusting shareholders or directors, this directly concerns you. What Is a Nominee, and Why Is the State Getting Serious?
Simply put, a nominee is where a Thai person holds shares or stands as owner on behalf of someone else, to make the company look Thai-owned, when in fact a foreigner controls it and is the real beneficiary. What makes it illegal is doing this to evade the Foreign Business Act B.E. 2542 (1999), which caps foreign shareholding in certain businesses at no more than 49 percent and reserves certain activities for Thais only.
The penalties are not light. Under Section 36, both the Thai who agrees to be a nominee and the foreigner behind the scenes face imprisonment up to 3 years, or a fine of THB 100,000 to 1,000,000, or both, plus a daily fine throughout the period of the ongoing violation. This is why the state keeps tightening the loophole.
What Changed Under Order 2/2569
The key change is that scrutiny used to focus mainly at the incorporation stage, so some chose to get past the screening at registration first, then change shareholders or authorized signatories later. The new order therefore extends scrutiny across the whole cycle, from incorporation through to registration of amendments. The gap once used to evade has narrowed sharply.
Another addition is the supporting documents for the application. Where a foreigner co-invests or has signing authority, the company must submit an investment clarification letter, attaching bank statements for the past 3 months, both of the Thai investor who actually pays the investment funds and of the party receiving those funds. The goal is to clearly show the money trail, whether the Thai listed as an investor really has their own investment funds.
Who Is Affected, and How Should You Prepare?
Those directly affected are companies about to be newly incorporated with foreign co-investment, and existing companies already involving foreigners that plan to amend shareholders or directors after 1 August 2569 (2026). What you should do now is check that the Thai shareholders’ investment funds have a clear source that matches the documents, prepare bank statements, and review whether the shareholding structure reflects the reality of the investment, not just numbers on paper.
If the existing structure was once arranged loosely, now is the moment to revisit it before you have to submit documents to the authorities, because fixing it correctly from the start is better than running into problems when officials ask for more documents.
